Terms of Service

Effective 6 September 2026.

These Terms of Service ("Terms") govern your use of Kit & Ledger Compliance, provided by Kit and Ledger Limited ("Kit & Ledger", "we", "us", "our"), company number 17418531, registered office Suite A, 82 James Carter Road, Mildenhall, IP28 7DE. By creating an account or subscribing, you agree to these Terms. If you do not agree, please do not use the service.

Please also read our Privacy Notice, our Disclaimer, and our Source & Verification Framework, all incorporated into these Terms by reference.

1. The service

Kit & Ledger is a compliance-monitoring and deadline-reminder tool for UK small businesses. It looks up your company on the Companies House register, asks you a short set of questions about your business, and uses that information to build a personalised calendar of recurring compliance obligations with reminder emails.

Important. Kit & Ledger provides compliance information and organisational tools. It does not provide legal, tax or accounting advice. Requirements can depend on your individual circumstances — always confirm anything material with the relevant authority or a qualified adviser. See our full Disclaimer.

2. Eligibility and your responsibilities

  • Kit & Ledger is a business-to-business service. Throughout these Terms, "you" and "customer" mean a business acting in the course of its trade, business, craft or profession — not a consumer acting for purposes outside that trade — and these Terms, including Sections 4 to 6 on pricing, cancellation and refunds, are framed on that basis.
  • You must be authorised to act on behalf of the business you register, and the information you enter about it (including your answers to our questionnaire) must be accurate to the best of your knowledge.
  • The service is designed for UK owner-managed private limited companies with approximately 0–10 employees. Certain regulated or higher-risk sectors are flagged with a limited-coverage notice when you select your company — if you see this notice, treat our obligation list as incomplete for your sector and seek specialist advice.
  • You are responsible for keeping your login email account secure, since sign-in is by passwordless magic link sent to that address.
  • You must not use the service to store or process personal data about third parties beyond what is reasonably necessary for your own compliance monitoring.

3. Free preview and paid subscription

Anyone can search for a company and see a free summary of obligations that likely apply to it. Full features — the persistent dashboard, completion tracking, and email reminders — require a paid subscription.

4. Plans, pricing and payment

PlanPrice
Annual£39 per year
Monthly£4.99 per month

Prices are shown inclusive of any VAT that applies. Payments are processed by Stripe, our payment processor; Kit and Ledger Limited is the seller and merchant of record for your subscription and is responsible for issuing receipts and any applicable VAT invoice. Subscriptions renew automatically at the end of each billing period using your saved payment method, until cancelled. At checkout, you must actively check a box confirming you have read and accept these Terms and our Privacy Notice before payment can proceed — we do not treat silence or an unticked box as acceptance.

We may change our prices from time to time. If we do, we will give you at least 30 days' notice before a price change takes effect on your next renewal; continuing to use the service after that date means you accept the new price. You can cancel before the change takes effect if you do not agree to it.

5. Cancelling your subscription

You can cancel your subscription at any time, self-serve, through your account or the billing portal — cancellation is always as easy as signing up. We do not require you to contact us by email or phone to cancel.

We will send you a reminder email ahead of each annual renewal so you are not caught out by an automatic renewal you did not intend to keep.

Cancelling stops future billing from the end of your current paid period; it does not automatically entitle you to a refund for the current period — see Section 6.

6. Refunds

Kit & Ledger is a business-to-business service. Because you are contracting with us as a business acting in the course of its trade, business, craft or profession, rather than as a consumer, the consumer cooling-off right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 does not apply to your subscription, and we do not operate a consumer-style cooling-off workflow.

Subscription fees already paid for the current billing period are non-refundable. We do not offer automatic or pro-rata refunds when you cancel partway through a billing period — cancelling simply stops the next renewal (Section 5). We may, at our sole discretion, agree a refund in exceptional circumstances, but we do not guarantee one and you should not rely on us doing so.

Nothing in this section excludes or limits any right you have that cannot lawfully be excluded or limited by agreement — where such a right applies, it is unaffected by anything in this section.

7. Acceptable use

You must not:

  • Use automated tools to extract, copy or resell data or content from the service.
  • Attempt to reverse engineer, decompile or interfere with the service or its security.
  • Share a single account across multiple unrelated businesses in a way designed to avoid paying for multiple subscriptions.
  • Use the service for any unlawful purpose, or in a way that could damage, disable or impair it for other customers.

We may suspend or terminate accounts that breach this section.

8. Intellectual property

Kit & Ledger, our logo, the compliance rule content, and the platform itself are owned by Kit and Ledger Limited or our licensors. We grant you a personal, non-exclusive, non-transferable licence to use the service for your own business's compliance monitoring while your subscription is active. You retain ownership of the information you submit to us about your business.

9. Third-party data and services

Company information is sourced from the Companies House register via its official API and is subject to Companies House's own terms of use. Links to GOV.UK, HMRC, ICO and The Pensions Regulator guidance are provided for your convenience; we do not control and are not responsible for the content of those external sites.

10. Disclaimer of warranties

The service is provided "as is" and "as available". We work hard to keep compliance information accurate and up to date — see our Source & Verification Framework — but we do not guarantee that every obligation relevant to your business is covered, or that deadlines, thresholds or requirements have not changed since we last checked. Where our confidence is insufficient, we will say "Check required" rather than present an uncertain result as fact. Full detail is in our separate Disclaimer, which forms part of these Terms.

11. Limitation of liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to that, to the fullest extent permitted by law: we are not liable for any indirect or consequential loss, including loss of profit, business or data; and our total liability to you for any claim arising from your use of the service is limited to the total fees you paid us in the 12 months before the claim arose.

We are not liable for any penalty, fine, or other consequence you incur for missing or misunderstanding a compliance obligation — the service is an organisational aid, and responsibility for meeting your legal and regulatory obligations remains yours.

12. Changes to the service or these Terms

We may update the service and these Terms from time to time, for example to add features, reflect regulatory changes, or improve clarity. We will post the updated Terms here with a new effective date and, where a change is material, notify you by email before it takes effect.

13. Ending these Terms

You may stop using the service and cancel your subscription at any time (Section 5). We may suspend or end your access if you materially breach these Terms, including non-payment or misuse under Section 7, having given you a reasonable opportunity to put things right where practical.

14. Governing law and disputes

These Terms are governed by the law of England and Wales, and any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.
